The General Framework Governing Representation & Contractual Compliance
Decisive legal effect and scope of application: The provisions of these General Terms apply by operation of law to all services, consultations, legal work, and procedures undertaken by Al-Manara for Integrated Legal Solutions, or by Attorney Nasser Abu Nassar (in his personal capacity, Bar Association number 18527), for the benefit of its clients and principals.
These Terms are excluded from application in one case only: the signing of the official, approved "Special Fee Agreement Form" issued by Al-Manara, containing an express and unambiguous provision stipulating that the special agreement replaces and supersedes these General Terms and Conditions of Representation. Absent that, these General Terms apply by operation of law and are deemed to supplement and construe any dealing between the parties.
Important legal notice with retroactive effect: A client's or company's receipt of secure login credentials for the interactive digital dashboard (Client Portal), or their mere access to and browsing of the firm's website, constitutes sufficient and effective legal notice to all clients and companies who began working with us before the effective date of these Terms, and is deemed formal acceptance and adoption of these General Terms.
Transparency, Client Rights & Financial Governance
Al-Manara upholds the highest standards of governance and procedural integrity, guaranteeing its clients exceptional rights that reinforce financial transparency and mutual oversight.
The client holds a full and permanent right of continuous, real-time access to every detail of their financial position, the collections made on their behalf, and the amounts remitted to them. These operations are recorded under strict accounting control and updated periodically through the client's secure digital account on the website (Client Portal), giving them an itemized statement of payments, collection movements, and credit and debit balances.
Al-Manara provides its clients with a direct administrative and accounting line to the accounts department to review their accounts, audit mutual entitlements, examine binding due and payment dates, and follow up on the entries of financial retainers held on deposit.
In application of the highest standards of governance and to protect the client's assets and interests, no financial settlement, authorization to compromise, or waiver of any of the client's rights (whether financial, legal, or in rem) is concluded except under an express written authorization signed in advance by the client through one of the approved official channels. No verbal or telephone approvals are recognized in this regard, so as to protect both parties and document the strategic decision.
Litigation and execution expense retainer: Upon signing any engagement or commencing any case or execution matter, the client undertakes to deposit an advance financial retainer determined by reference to the scale of court fees, Bar Association fees, revenue stamps, and anticipated service-of-process and expert-witness expenses. This amount is recorded in the client's dedicated escrow account and is disbursed only against judicial receipts and invoices uploaded in real time to their electronic account.
Commencement fee retainer: The firm reserves the right to require an advance retainer payment against the initial fee value before beginning the study of a file, preparing statements of claim, or drafting major contracts and specialist projects.
Settlement of retainers: All deposited financial retainers are subject to audit and set-off upon completion of the project or issuance of a final judgment. They are then settled, the firm's final entitlements deducted immediately, and any remaining balance remitted to the client under a final accounting release.
Right to withhold and collect funds directly: The client acknowledges and irrevocably agrees that Al-Manara holds the full right to take possession of and withhold the proceeds of any funds or compensation collected for the client's benefit (whether through execution departments, cheques, bank accounts, or amicable settlements), and to deduct all due fees, charges, and expenses before remitting any portion of the funds to the client.
Direct executive force of these Terms: These Terms, and any financial statements and claims recorded in the client's file through their digital portal, are deemed a conclusive and definitive executive instrument requiring no substantive lawsuit to establish it.
Interdependence of obligations and disclaimer: The client undertakes to provide all documents and evidence immediately and bears sole responsibility for their legal validity. Should the client fail to pay court fees or Bar Association fees, they bear sole and full responsibility for any lapse of statutory deadlines, provided they were notified of the need to pay by any written or electronic means.
Governing law: Jordanian law applies exclusively for the purposes of interpreting these provisions. Al-Manara reserves the right to re-assess retainer fees and annual subscriptions during the term of the engagement based on the actual volume of work and the effort expended for the client's benefit.
